Welcome to Opayi. These Terms govern your access to and use of the Opayi platform and the opayi.com website (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please refrain from using the Service.

1. Acceptance of the Terms

By using the Service, you confirm that you have the legal capacity to form a binding agreement and that you will comply with these Terms. Opayi reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting and your continued use of the Service constitutes your acceptance of the revised Terms.

2. Intellectual Property

All content and materials on the Service, including but not limited to text, graphics, logos, icons, images, audio-visual content, software, and the underlying source code, are owned by Opayi or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, display, perform, or otherwise exploit Opayi materials outside the scope of the Service or without Opayi’s prior written consent. User-submitted content remains the property of the user who submits it, subject to any rights Opayi may require to operate and provide the Service.

3. Third-Party Links and Google Play Hosting

The Service may include hyperlinks to third-party apps and services. Some apps listed on Opayi are hosted on Google Play and are not hosted directly on opayi.com. Opayi does not sell, license, or host these apps ourselves, and we do not guarantee the availability, safety, accuracy, or legality of third-party apps. Your use of any such apps is governed by the terms and policies of the respective third party (e.g., Google Play). Opayi disclaims all responsibility for third-party content, and linking to a third-party platform does not imply endorsement of the content or services offered therein.

4. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. OPAYI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND NON-INTERFERENCE WITH SECURITY OR RELIABILITY. OPAYI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE CONTENT AND INFORMATION ON THE SERVICE MAY BE OUT OF DATE, AND OPAYI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING ITS ACCURACY, COMPLETENESS, OR RELIABILITY.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPAYI AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. IN NO EVENT SHALL OPAYI’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF $100 OR THE AMOUNT PAID, IF ANY, BY YOU TO OPAYI FOR THE SERVICE IN THE SIX MONTHS PRECEDING THE CLAIM.

6. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Opayi operates, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved in the courts located in that jurisdiction, subject to applicable arbitration or dispute resolution provisions that may be required by law. You agree to provide prompt written notice of any dispute and to allow a reasonable opportunity to cure any breach.

7. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely reflects Opayi’s intended economic effect.

8. Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Opayi regarding the Service and supersede all prior or contemporaneous communications and proposals, whether written or oral.
